Company Tax Return Filing in Bangladesh for Private Limited SMEs

A filing-focused guide for small and mid-sized private limited companies preparing their annual income tax return.

Quick answer

A company tax return in Bangladesh is the annual income tax return every company must file with its Taxes Circle under the Income Tax Act 2023. It reports the company's taxable income for the income year, is filed with audited financial statements and a tax computation, and is due by the company Tax Day, generally the 15th day of the seventh month after the income year ends.

Filing a company tax return in Bangladesh is a document-heavy exercise. The return form itself is short, but it has to be supported by audited accounts, a computation that reconciles accounting profit to taxable income, and evidence of every tax already paid. For a private limited SME, getting these pieces aligned before Tax Day is the real work.

This page is for owners, accountants and finance managers of small and mid-sized private limited companies. It walks through what goes into the return, the order in which to prepare it, and the problems that typically surface at the Taxes Circle. Larger groups, listed entities and foreign-owned subsidiaries should also read our corporate tax return page, which covers their additional disclosures.

Which companies must file a company tax return?

Every company registered with RJSC under the Companies Act 1994 must file, regardless of profit, loss or activity level. This includes newly incorporated companies in their first year, dormant companies that have not been wound up, one-person companies and foreign-owned private limited companies. Branch and liaison offices of foreign companies also have return obligations, although their documentation differs.

Documents for a company tax return

Collect these before you start. Missing items are the main reason returns are filed late or with errors that later trigger reopening.

  • Audited financial statements signed by a chartered accountant firm, with the Document Verification Code obtained through ICAB's Document Verification System (DVS)
  • Company e-TIN certificate and RJSC incorporation documents for the first filing
  • Tax computation reconciling net profit to taxable income, with depreciation under the Third Schedule
  • Challans or e-payment receipts for advance tax and any tax paid with the return
  • Certificates for tax deducted or collected at source from the company's receipts (imports, supplies, bank interest, exports)
  • Bank statements for all company accounts and a list of related-party transactions
  • Details of withholding tax deducted from payments and the withholding returns filed
  • Previous year's return acknowledgement and assessment order, if any

How the tax computation is built

The computation starts from net profit before tax in the audited accounts. Accounting depreciation is added back and replaced with tax depreciation. Expenses the Act disallows are added back: for example, payments where tax was required to be deducted but was not, certain cash payments above the limit, excessive perquisites and entertainment beyond the allowed ceiling. Income taxed under separate rules, such as dividend received or income subject to final tax at source, is separated out.

The result is compared with minimum tax on gross receipts and with tax already collected at source that is treated as minimum tax. The company pays the higher figure as required by the Act, then deducts creditable AIT, TDS and advance tax to arrive at the amount payable with the return.

Common company tax return mistakes

  • Filing with unaudited or draft accounts, or with a DVS code that does not match the signed statements
  • Claiming TDS credit without holding the actual certificates or challan details
  • Reporting turnover in the return that does not match the VAT returns (Mushak 9.1) for the same period
  • Ignoring withholding failures, which leads to disallowance of the related expense
  • Missing Tax Day and assuming an extension applies automatically; extensions must be applied for and granted by the Deputy Commissioner of Taxes

After filing: acknowledgement, assessment and audit selection

Once filed, the company receives an acknowledgement slip, which also serves as the return reference banks and tender committees ask for. The Taxes Circle may accept the return, issue a notice for clarification, or the return may be selected for audit under NBR's selection criteria. Keep the full working file, because questions often arrive a year or more later. If an error is discovered after filing, a revised return can be submitted within the time the Act allows.

How the process works

  1. Close the booksFinalise the general ledger, reconcile bank accounts and confirm related-party balances so the auditor can start.
  2. Audit and DVSThe chartered accountant firm completes the audit and generates the DVS code for the signed financial statements.
  3. Tax computationWe prepare the computation, apply minimum tax rules and match every credit to a certificate or challan.
  4. Pay the balanceAny remaining tax is paid through A-challan or e-payment against the company's e-TIN before submission.
  5. Submit the returnThe return with annexures is filed at the Taxes Circle or online where available, and the acknowledgement is retained.
  6. Handle follow-upWe respond to notices, attend hearings and keep the working file ready for any audit.

Typical timeline: Preparing a company tax return typically takes two to four weeks after the audit is signed, depending on the quality of records and the number of tax credits to verify.

Frequently asked questions

When is the company tax return deadline in Bangladesh?

Under the Income Tax Act 2023, Tax Day for companies is generally the 15th day of the seventh month after the end of the income year. For a July to June year that is 15 January. A company can apply to the Deputy Commissioner of Taxes for an extension, but it is not automatic and interest may still apply.

Can a company file its tax return without an audit?

No. Companies are required to attach audited financial statements, and NBR checks the DVS code issued through ICAB's Document Verification System. Filing with unaudited accounts exposes the company to rejection, reassessment and penalty. Plan the audit early so it does not push the return past Tax Day.

Does a newly formed company with no business need to file?

Yes. Once a company has an e-TIN it is expected to file every year. A nil or low-activity return still needs financial statements, and filing keeps the company's record clean for bank accounts, BIN, trade license renewal and future investors.

Can the company tax return be filed online?

NBR has been expanding online return facilities, and availability for companies depends on the current system and NBR notifications for the year. Where online filing is not available or practical, the return is submitted to the Taxes Circle. We check the current position before each filing season.

What if we find a mistake after submitting the return?

The Act allows a revised return within a set period if the company discovers an omission or wrong statement, provided it has not been subject to certain proceedings. Correcting voluntarily is usually far better than waiting for the Taxes Circle to find the error during assessment or audit.
