Tax Audit, Appeal and Tribunal Support in Bangladesh

From the first audit notice to the Taxes Appellate Tribunal: organised, documented and on time.

Quick answer

In Bangladesh, a tax audit is the NBR's examination of a filed return, which can lead to an assessment demanding more tax. A taxpayer who disagrees can appeal to the Commissioner of Taxes (Appeals), then to the Taxes Appellate Tribunal, and on questions of law to the High Court Division. Alternative Dispute Resolution is also available. Each stage has strict time limits under the Income Tax Act 2023.

Audit, appeal and tribunal work starts when a notice arrives: your return has been selected for audit, the Deputy Commissioner of Taxes wants books and explanations, or an assessment order shows tax far higher than you expected. How you respond in the first few weeks often decides the outcome, because evidence not produced at audit is harder to introduce later.

This page explains the Bangladesh tax dispute path step by step, what each forum looks at, and how we prepare clients. It applies to individuals and companies; VAT disputes follow a separate route under the VAT and SD Act 2012, which we also handle. Most of the outcome depends on organised evidence and meeting every deadline, not on argument alone.

How returns are selected for tax audit

The NBR selects a portion of returns each year for audit, using risk-based criteria, random selection and information from other sources such as banks, land registries, customs and third-party TDS data. Selection is not an accusation; it is a request to support the return with evidence. Once selected, the Deputy Commissioner of Taxes issues notices requiring documents, explanations or attendance.

Responding to an audit notice

  • Read the notice carefully and diarise the response date; ask for time in writing if needed
  • Collect books of account, bank statements, invoices, TDS certificates, deeds and loan agreements
  • Prepare written explanations for the specific issues raised, cross-referenced to evidence
  • Attend hearings in person or through an authorised income tax practitioner, lawyer or chartered accountant
  • Keep copies of everything submitted with the circle's receipt

The tax appeal path in Bangladesh

If the assessment order is unacceptable, the dispute moves through independent levels. Time limits run from the date you receive the order, and some stages require payment of part of the disputed tax before the appeal is heard. The precise time limits and payment conditions are set by the Income Tax Act 2023, so we calculate them from the order date on day one.

  • Commissioner of Taxes (Appeals): first appeal on facts and law against the assessment
  • Taxes Appellate Tribunal: second appeal against the Commissioner's order, by taxpayer or department
  • High Court Division of the Supreme Court: reference on questions of law arising from the Tribunal's order
  • Appellate Division: further appeal in limited cases

Alternative Dispute Resolution (ADR)

The Act provides an ADR mechanism through which a taxpayer and the tax authority can settle a dispute with a facilitator rather than litigate. ADR can be faster and less adversarial, and a settlement is binding on both sides. It is not suited to every case; where a point of law is at stake or the gap is large, the appeal route may be better. We assess both options before choosing.

Mistakes that weaken a tax appeal

  • Ignoring audit notices, leading to a best-judgment assessment that is harder to overturn
  • Missing the appeal deadline by a few days
  • Not paying the required portion of tax where the law makes it a condition of appeal
  • Raising new facts at the Tribunal that were never put to the assessing officer
  • Grounds of appeal that are generic instead of tied to specific additions
  • Losing track of the hearing date after an adjournment

How the process works

  1. Notice reviewWe read the notice or order, identify the issues and compute every deadline.
  2. Evidence fileWe build an indexed evidence file for each issue, from your books and third-party records.
  3. Written submissionsWe draft replies to the DCT or grounds of appeal and statements of facts.
  4. RepresentationWe attend hearings at the circle or the Commissioner (Appeals) and coordinate counsel for the Tribunal or High Court.
  5. ADR assessmentWhere suitable, we evaluate ADR and represent you in facilitation.
  6. Order follow-upWe check the appellate order, apply for refunds or adjustments and advise on further appeal.

Typical timeline: Audit responses are usually required within the period stated in the notice; appeals can take several months to a few years depending on the forum, hearing schedules and complexity of the case.

Frequently asked questions

Why was my income tax return selected for audit?

Returns are selected through risk criteria, random sampling and information the NBR receives from banks, land offices, customs and TDS data. Common triggers include large wealth increases, property purchases, sharp drops in declared income, or mismatches with third-party data. Selection does not mean you did anything wrong, but you must respond with evidence.

How long do I have to appeal a tax assessment in Bangladesh?

The Income Tax Act 2023 sets fixed periods counted from the date you receive the assessment order, both for the first appeal to the Commissioner (Appeals) and for the second appeal to the Taxes Appellate Tribunal. Late appeals are accepted only with sufficient cause. Contact an adviser as soon as the order arrives.

Do I have to pay the disputed tax before appealing?

For some stages, yes. The Act requires payment of a portion of the tax, or of the tax on the undisputed amount, as a condition for certain appeals, particularly at the Tribunal. The required portion depends on the stage and the current law. Not paying it can result in the appeal being rejected without a hearing.

Is ADR better than a formal appeal?

ADR can resolve disputes faster and with less cost, and the outcome is agreed rather than imposed. It works best for factual disagreements about amounts. For important questions of law, or where a precedent matters for future years, a formal appeal may be the better route. Both options should be weighed early.

Can you handle VAT audits and appeals too?

Yes. VAT audits, demand notices and appeals follow the VAT and Supplementary Duty Act 2012, with appeals going to the Commissioner (Appeals) under the VAT wing and then to the Customs, Excise and VAT Appellate Tribunal. The principles are similar: respond on time, document every point and track deadlines.
