Company Formation Services in Bangladesh

Private and public limited company incorporation, branch offices, company maintenance, dissolution and liquidation.

Overview

Most businesses in Bangladesh operate as private limited companies registered with the Registrar of Joint Stock Companies and Firms (RJSC) under the Companies Act 1994. Incorporation involves name clearance, drafting the Memorandum and Articles of Association, paying registration fees and stamp duty, and then completing post-incorporation steps such as trade license, e-TIN, BIN and a corporate bank account. We handle the entire lifecycle, from choosing the right structure and incorporating the company through annual maintenance to restructuring, dissolution and liquidation.

Common questions

What is the difference between corporate services and corporate secretarial services?

Corporate secretarial work is one part of corporate services: maintaining statutory registers, minutes, resolutions and RJSC filings. Corporate services is the wider umbrella, adding company formation, tax and VAT registration, licences, foreign investment approvals, restructuring and closure. Many clients start with secretarial support and add other services as the business grows.

How many people are needed to incorporate a private limited company in Bangladesh?

A private limited company needs at least two shareholders and at least two directors, and may have up to fifty shareholders. Since the Companies (Amendment) Act 2020, a One Person Company can be incorporated with a single natural person as shareholder. A public limited company needs at least seven shareholders and three directors.

Does a private limited company in Bangladesh need to hold an AGM?

Yes. Every company registered under the Companies Act 1994 must hold an Annual General Meeting each calendar year, within the time limits the Act sets after the previous AGM and the year-end. The AGM adopts audited accounts, appoints auditors and handles director rotation. The annual return is then filed with RJSC based on the AGM.

What should be done first after receiving BIDA branch permission?

Secure the office address and open the bank account. The bank account is needed to receive the initial remittance, and the resulting encashment certificate, together with the office lease, is required by several later registrations, including work permits and, in practice, the trade licence and tax registrations.

Can I just stop operating and let the company lapse?

No. A company in Bangladesh continues to exist until it is formally dissolved. Even if it is inactive, its RJSC, tax and VAT obligations continue, and late fees or penalties may accumulate. Directors remain the responsible officers, so a formal dissolution or strike-off is the safer course.

Is an umbrella company legal in Bangladesh?

Yes, provided it is structured properly. A registered Bangladeshi entity can employ or contract people and provide their services to a client under a service agreement, as long as Labour Act, tax and VAT obligations are met and the arrangement reflects the real working relationship.
