RJSC & Compliance Services in Bangladesh
Corporate secretarial work, annual returns, name clearance, certified copies, statutory and annual compliance.
Once a company is registered, the RJSC expects ongoing compliance: holding the Annual General Meeting, filing the annual return (Schedule X) and financial statements, notifying changes of directors, shares, address or capital, and maintaining statutory registers and minutes. Missed filings attract late fees and can block bank, tender and licensing work. Our corporate secretarial team keeps the compliance calendar, prepares resolutions and forms, files them online with RJSC and obtains certified copies when you need them.

Is a company secretary mandatory for a private limited company in Bangladesh?
The Companies Act 1994 does not oblige every private company to appoint a professionally qualified secretary, and listed or larger companies face stricter rules under other regulations. However, every company must still keep minutes, registers and RJSC filings. Most small companies meet this by outsourcing the secretarial function rather than hiring a full-time secretary.
What is the difference between corporate compliance and statutory compliance?
Statutory compliance refers to the specific returns, registrations and payments required by law. Corporate compliance is the wider governance system that makes sure those statutory items, plus internal policies and board oversight, are consistently handled. Think of statutory compliance as the checklist and corporate compliance as the management system that runs it.
What are the main statutory returns for a private limited company in Bangladesh?
At a minimum: the annual income tax return with audited accounts, periodic withholding tax returns, the monthly VAT return (Mushak 9.1) if registered for VAT, and the RJSC annual filing (Schedule X) after the AGM. Event-based RJSC forms are added whenever directors, shares or the registered office change.
What is included in annual compliance for a private limited company in Bangladesh?
Typically: statutory audit of the annual financial statements, board approval of accounts, the corporate income tax return, the AGM and Schedule X filing with RJSC, trade licence renewal, and any IRC, ERC, work permit or sector licence renewals. Monthly VAT and periodic withholding returns run alongside throughout the year.
What is the full form of RJSC in Bangladesh?
RJSC stands for the Registrar of Joint Stock Companies and Firms. It is the statutory registry under the Ministry of Commerce responsible for registering and maintaining records of companies, partnership firms, societies and trade organisations in Bangladesh. Its records are the reference point banks and other authorities use to verify a company.
How long is an RJSC name clearance valid?
A name clearance is valid only for a limited period set by RJSC, after which the reservation lapses and the name may be taken by someone else. Because the period is short, incorporation documents should be ready to submit before or soon after clearance. We confirm the current validity period when filing.
