Is a valuation report mandatory for a share transfer in Bangladesh?
For a transfer between resident shareholders, RJSC registers the transfer on the instrument of transfer and does not usually ask for a valuation. Where shares are sold to or bought from a non-resident, the bank handling the remittance generally expects a fair value basis, and a supported valuation also protects both parties if the tax authority questions the price.
Can a foreign national open a company bank account in Bangladesh?
A company owned or directed by foreign nationals can open an account in its own name, with the foreign directors as signatories, provided the bank's KYC requirements are met. Foreign documents usually need notarisation or attestation, and banks may ask signatories to verify in person or through approved channels.
Is financial due diligence the same as an audit?
No. An audit gives an opinion on whether financial statements are fairly presented under accounting standards. Financial due diligence is forward-looking and deal-focused: it asks whether earnings are sustainable, what debt-like items exist and which risks should change the price or the contract. It often finds issues an audit does not address.
Can a foreigner buy an existing company in Bangladesh?
Generally yes, subject to sector-specific restrictions and regulator approvals in some industries. The share purchase must be paid through banking channels, the transfer registered at RJSC, and the investment documented so that future dividends and sale proceeds can be repatriated under Bangladesh Bank's foreign exchange rules.
How long does an M&A transaction take in Bangladesh?
Private share acquisitions of small and mid-sized companies commonly take three to six months. Deals needing High Court sanction for an amalgamation, Competition Commission clearance or sector regulator consent take longer. The biggest driver is usually how quickly reliable information becomes available.
