Valuation Services in Bangladesh

Matching the right kind of valuation to the decision, regulator or counterparty that will rely on it.

Quick answer

Valuation services in Bangladesh cover estimating the value of shares, whole businesses, intangible assets and business assets for a stated purpose, such as a share transfer to a non-resident, investor negotiation, IFRS/BFRS financial reporting, tax review or a shareholder dispute. The purpose decides the standard of value, the method and the evidence needed, so scoping the engagement correctly is the first and most important step.

Valuation services in Bangladesh are rarely about one number in isolation. A figure prepared for a bank, an investor, RJSC, Bangladesh Bank or the tax authority is read differently by each, and what passes for a friendly negotiation can fail under regulatory scrutiny. Owners often ask for 'a valuation' when what they actually need is a specific type of report built for a specific reader.

This page is the map of the valuation work we support: what kinds of valuation exist, which purpose calls for which, and how we coordinate where a specialist, such as a land surveyor or an independent auditor, must sign off. If you need the method detail for valuing one company, see our company valuation page; for a combined profile and value pack, see the company profile and valuation service.

Types of valuation services we cover

Each type answers a different question. Getting the type right at the start avoids paying for a report that the end reader will not accept.

  • Share valuation for transfers between shareholders, gifts within families, or sale of shares to a foreign investor
  • Whole-business valuation for sale, merger, joint venture entry or buy-out of a partner
  • Intangible asset valuation for trademarks, software, customer lists and licences, often alongside IP registration or licensing
  • Purchase price allocation after an acquisition, splitting the price between tangible assets, intangibles and goodwill for financial statements
  • Fair value measurement inputs for IFRS/BFRS reporting, such as unlisted investments held by a group
  • Plant, machinery and inventory valuation for restructuring, insurance or lender review, coordinated with technical valuers where needed

Why the purpose of a valuation matters

A sale negotiation may justify an investment value that reflects a buyer's synergies. A share transfer to a non-resident, on the other hand, is reviewed by the bank and, through the foreign exchange reporting process, by Bangladesh Bank, which will look for a fair value supported by a recognised method. Financial reporting under IFRS 13 asks for exit price from a market participant's view, not the owner's hope.

Tax is a separate lens. A transfer of shares or assets at a price well below a defensible value can attract questions from the Deputy Commissioner of Taxes on capital gains or deemed income under the Income Tax Act 2023. A clear, documented basis of value is your best protection.

Information typically required

  • Audited financial statements for the last three years and current management accounts
  • RJSC documents: Memorandum and Articles, latest Schedule X annual return, Form XII and share register
  • Business plan or budget, with assumptions for revenue, margin and capital spending
  • Details of debt, leases, contingent liabilities, tax assessments under appeal and VAT disputes
  • Title documents and recent survey reports for land and buildings, where property is material
  • Key contracts, licences, trademark certificates and customer concentration data

Common mistakes with valuation reports

  • Commissioning a report without stating its purpose and intended user, so it cannot be relied on
  • Using unaudited or inconsistent numbers that a buyer's due diligence later overturns
  • Ignoring tax liabilities and pending NBR assessments when moving from enterprise value to equity value
  • Applying listed-company multiples from the DSE without adjusting for size and lack of marketability
  • Mixing land at market value with operations at book value without explaining the basis
  • Leaving no audit trail of assumptions, which weakens the report in a dispute

Where we fit and where specialists sign

We prepare the financial analysis, models and narrative, and we coordinate the wider team. Where land and building values need a surveyor's certificate, or a regulator or court expects a report from a particular class of professional, we brief and work with that specialist and integrate their figures. We do not present our work as a statutory audit, a court-appointed valuation or a licensed merchant bank opinion.

How the process works

  1. Define purpose and readerWe confirm why the valuation is needed, who will rely on it and the standard of value that reader expects.
  2. Collect and test dataWe gather financial, legal and operational information and reconcile it with audited accounts, tax returns and RJSC records.
  3. Select methodsWe choose income, market or asset approaches suited to the business and the purpose, usually cross-checking at least two.
  4. Build the modelWe prepare a transparent model with explicit assumptions on growth, margins, capital spending and discount rate.
  5. Coordinate specialistsWhere property or plant values need a technical valuer, we brief them and incorporate their findings.
  6. Report and explainWe issue a written report with a value range, a reasoned conclusion and the key sensitivities, and walk you through it.

Typical timeline: A focused share or business valuation typically takes two to five weeks, depending on how quickly documents are available, the complexity of the business and whether outside specialists are involved.

Frequently asked questions

Is a valuation report mandatory for a share transfer in Bangladesh?

For a transfer between resident shareholders, RJSC registers the transfer on the instrument of transfer and does not usually ask for a valuation. Where shares are sold to or bought from a non-resident, the bank handling the remittance generally expects a fair value basis, and a supported valuation also protects both parties if the tax authority questions the price.

What is the difference between valuation services and company valuation?

Valuation services is the broad umbrella: shares, whole businesses, intangibles, purchase price allocation and fair value inputs. Company valuation is one engagement within it, focused on the methods used to value a single operating company. If you are unsure which you need, start by telling us the decision the number will support.

Can you value land and buildings?

We analyse property within a business valuation, but a formal land or building value usually needs a qualified surveyor who inspects the site and checks title records. We brief and coordinate that surveyor, then integrate the result so the property and operating values are consistent in one report.

Which valuation method is best for a small private company?

There is no single best method. Profitable, stable businesses are often valued on discounted cash flow or earnings multiples, while asset-heavy or loss-making ones lean on net asset value. Good practice is to use more than one method and explain why the final figure sits where it does.

Will the tax authority accept our valuation?

No adviser can guarantee acceptance. A report that uses audited figures, recognised methods and clearly stated assumptions gives the Deputy Commissioner of Taxes a reasoned basis, and makes it much easier to defend the price during assessment, appeal or tribunal stages if questions arise.

Do you provide valuations for foreign investors?

Yes. Foreign investors entering or exiting a Bangladeshi company often need a valuation to support the share price, the inward or outward remittance and their own group reporting. We prepare the analysis in English and align it with the documents the bank and BIDA process will require.
