Issuance of Certified Copy from RJSC

Certified copies of your company's RJSC documents for banks, tenders, embassies, BIDA and foreign head offices.

Quick answer

Issuance of a certified copy is RJSC's official service of providing a true copy of a document held on its register, such as the certificate of incorporation, Memorandum and Articles of Association, Schedule X or Form XII, stamped and signed as certified by RJSC. In Bangladesh, banks, tender authorities, BIDA, embassies and foreign partners often require these instead of company-made photocopies.

Issuance of a certified copy is one of the most frequent RJSC requests, because a company's own photocopies carry little weight with outside parties. When a bank opens an account or renews a loan, when a government tender asks for proof of directorship, or when a foreign parent needs evidence of its Bangladeshi subsidiary's shareholding, the document has to come from the Registrar.

This page explains which documents RJSC can certify, how the request works, and the practical reasons applications get stuck. It is for company officers, bank relationship teams and foreign shareholders who need reliable official copies, sometimes urgently and sometimes with further notarisation or attestation for use abroad. We also cover what to do when a request is blocked.

Documents commonly requested as certified copies

  • Certificate of incorporation, and fresh certificate after a change of name
  • Memorandum and Articles of Association, including amended versions
  • Schedule X (annual list of members and summary of share capital)
  • Form XII (particulars of directors and officers)
  • Form XV (return of allotment) and Form 117 (share transfer)
  • Form VI (registered office), Form I and Form IX
  • Certificate of commencement of business for public companies, and partnership or society registration documents

Who asks for RJSC certified copies, and why

Banks ask for certified MoA, AoA, Form XII and Schedule X to verify who can sign and who owns the company, as part of KYC under Bangladesh Bank rules. Public procurement bodies ask for them in tender submissions. BIDA, NBR or licensing authorities may require them when registering or amending records. Abroad, they are used for group audits, parent-company compliance, visa sponsorship and court or arbitration matters, typically after notarisation and attestation by the Ministry of Foreign Affairs and the relevant embassy.

How the RJSC certified copy request works

The request is made through the company's RJSC online account or an authorised representative, selecting the documents and number of copies. The fee is set per document or page under RJSC's schedule and is paid through the approved channels. RJSC staff retrieve the filed document, prepare the copy and certify it. Older filings made before digitisation can take longer because the physical file must be located.

Before requesting, check what exactly the recipient wants. A bank may ask for a certified copy of the current Articles including all amendments, while a tender may only need the certificate of incorporation and the latest Form XII. Requesting a complete pack once, covering the incorporation certificate, MoA, AoA, latest Schedule X and Form XII, is usually more efficient than making separate requests for each counterparty, and it gives you a consistent set of documents dated together.

Why certified copy requests get delayed

  • Annual returns outstanding, which can block further services until arrears are filed
  • The document requested was never actually filed with RJSC
  • Mismatch between the company's details on the request and the RJSC record
  • Older manual files that need retrieval from the archive
  • Lost access to the company's RJSC portal account

Using certified copies outside Bangladesh

Foreign authorities usually will not accept an RJSC certified copy on its own. The common chain is notarisation by a notary public in Bangladesh, attestation by the Ministry of Foreign Affairs, and then legalisation by the embassy or consulate of the destination country. Requirements differ by country and purpose, so confirm them with the receiving party before starting.

How the process works

  1. Confirm requirementsWe check exactly which documents the bank, tender or foreign party needs and whether attestation is required.
  2. Verify RJSC recordThe company's filing history is checked to confirm the documents exist and returns are up to date.
  3. Submit requestWe apply through RJSC, select documents and copies, and pay the prescribed fee.
  4. Follow up and collectWe track the request with RJSC and collect the certified copies once issued.
  5. Onward attestationWhere needed, we arrange notarisation and Ministry of Foreign Affairs attestation, and guide on embassy legalisation.

Typical timeline: Certified copies of recently filed, digitised documents are often issued within a few working days; older records or requests blocked by outstanding filings take longer, depending on RJSC processing.

Frequently asked questions

What is an RJSC certified copy?

It is a copy of a document held in RJSC's records that RJSC has stamped and signed to certify it as a true copy of the filed original. Because it comes from the Registrar, banks, government bodies and foreign parties accept it as reliable evidence of the company's registered information.

Can anyone request a certified copy of a company's documents?

Company documents filed with RJSC are public records in principle, and inspection and copies are available on payment of fees. In practice, requests are most easily made through the company's own RJSC account or an authorised representative, and RJSC procedures determine what a third party can obtain.

How much does an RJSC certified copy cost?

RJSC charges a prescribed fee, generally depending on the document and number of pages or copies. The fee schedule is set by RJSC and can change, so we confirm the current amount at the time of the request and show government fees separately from our service charge.

Why does the bank want a certified Form XII?

Form XII shows the directors and officers currently registered with RJSC. Banks use it to confirm that the people signing account documents or loan agreements are genuinely authorised. If a director change has not been filed, the bank will see an outdated list, which often delays account changes.

Does a certified copy need to be renewed?

A certified copy does not expire as such, but it only shows the record on the date it was certified. Banks and tender authorities often ask for copies issued recently, especially after any change in directors or shareholding, so request fresh copies when your record changes or when the recipient asks.
