Incorporation packages in Bangladesh bundle the services needed to set up a company into a fixed scope: typically RJSC name clearance and incorporation, MoA and AoA drafting, and, in fuller packages, e-TIN, trade licence, BIN, bank account support and BIDA registration for foreign investors. Government fees and stamp duty depend on authorised capital and official schedules, so they are usually quoted separately from the professional fee.
Incorporation packages in Bangladesh make company set-up easier to budget and compare. Instead of buying name clearance, document drafting, RJSC filing, tax registration and licences one by one, you choose a bundle that matches how far you need to go: just a registered company, a company that can trade and invoice, or a foreign-owned company ready to receive capital and sponsor work permits.
This page explains what our packages typically include, how government costs are handled, and which package suits which client. It is for founders comparing options and procurement teams at foreign companies who need a clear scope before approval. For background on the legal process, see our company formation and company incorporation pages.

Our incorporation packages at a glance
Scopes are adjusted to each client, but most engagements fall into one of the following bundles.
- Registration package: name clearance, MoA and AoA drafting, RJSC forms and filing, Certificate of Incorporation, certified copies, share certificates and first board minutes
- Trade-ready package: everything in Registration plus e-TIN, trade licence, BIN under the VAT and SD Act 2012 and bank account opening support
- One Person Company package: Registration or Trade-ready scope adapted for a single owner, including nominee documentation
- Foreign investor package: Trade-ready scope plus document attestation guidance, capital inflow and encashment support, and BIDA registration
- Add-ons: trademark filing with DPDT, IRC and ERC, shareholders' agreement, virtual office or registered address, first-year compliance retainer
Government fees versus professional fees
Every incorporation involves payments to the government that no provider controls: RJSC registration and filing fees, stamp duty on the MoA and AoA, trade licence fees and associated charges, and BIDA fees where applicable. These depend on the company's authorised capital, location and activities, and are revised from time to time by official schedules and the Finance Act.
We show government costs as a separate line in every quotation, based on the current schedules at the time of quoting, and pass them through at actual cost. Our professional fee covers advice, drafting, filing and follow-up. Be cautious of package prices that look very low because they may exclude stamp duty or registrations you will need anyway.

Choosing the right package
The right package depends on what you need to do in the first months after incorporation.
- Holding company or a company for a future project: the Registration package may be enough
- A business that will invoice customers, import or hire soon: the Trade-ready package
- A solo founder wanting limited liability: the One Person Company package
- Any company with a foreign shareholder: the Foreign investor package, because capital inflow and BIDA steps affect later repatriation and work permits
What packages do not cover
Packages focus on setting up the company. They do not normally include monthly accounting, VAT returns, audit, the company tax return or the annual RJSC return, which form part of ongoing compliance. Sector licences, such as those for travel agencies, food production or pharmaceuticals, have their own requirements and are quoted separately once the activity is confirmed. Office rent, bank charges and courier costs for foreign documents are also outside the package.
What you need to start
To begin any package, we need the proposed company names, shareholder and director details with NID or passport, photographs, contact information, shareholding percentages, authorised and paid-up capital figures, a description of activities and the registered office address. For corporate shareholders we also need their incorporation documents and a board resolution. Foreign documents may need notarisation and attestation, which we explain at the start.

Frequently asked questions
How much does an incorporation package cost in Bangladesh?
The total has two parts: government fees and stamp duty, which depend on authorised capital, location and current schedules, and the professional fee, which depends on the package scope. We provide a written quotation for your specific company rather than quoting a fixed figure that may not reflect your case.
Is BIN registration included in incorporation packages?
BIN registration is included in our Trade-ready, One Person Company (trade-ready scope) and Foreign investor packages. The Registration package covers only RJSC incorporation, as some holding or project companies do not need to register for VAT immediately.
Can I upgrade from a basic package later?
Yes. You can start with the Registration package and add e-TIN, trade licence, BIN or BIDA registration later. The cost of adding items later is similar, though doing everything together usually saves time because documents are prepared once.
Do packages include the bank account?
Trade-ready and Foreign investor packages include support with bank account opening: preparing board resolutions, document sets and liaising with the bank. The bank makes its own decision and may require directors or signatories to complete verification in person.
Are annual compliance services part of the package?
No. Packages cover set-up only. Annual compliance, such as the AGM, RJSC annual return, audit coordination, tax return and VAT returns, is offered as a separate maintenance retainer that you can add when the company is formed.
Which package do foreign investors need?
The Foreign investor package is designed for companies with any foreign shareholding. It includes guidance on document attestation, capital inflow through banking channels, the encashment certificate and BIDA registration, which are needed for work permits and later repatriation of dividends or capital.
