Registered Address for a Company in Bangladesh

The legal address RJSC records for your company, how to change it, and which other registrations must follow it.

Quick answer

A registered address is the official registered office of a company recorded with RJSC under the Companies Act 1994. It is where legal notices are served and statutory records may be kept, and its location must be notified to RJSC at incorporation and whenever it changes. Trade license, BIN, e-TIN and bank records should match it, and those usually require proof of actual premises.

Every company incorporated in Bangladesh must have a registered address, formally called the registered office. It is not a marketing address. It is the place where the law treats the company as being found: courts, RJSC, tax and VAT offices and counterparties send notices there, and the company is expected to display its name at it.

This page explains the legal rules on the registered office, how to change it with RJSC, and why the address must be consistent across your trade license, BIN, e-TIN and bank records. It is aimed at founders, company secretaries and foreign investors. For a broader business address package see our virtual office page.

Legal rules on a company's registered address

Under the Companies Act 1994 a company must have a registered office to which communications and notices can be addressed from the time it starts business, and in any case within a short period after incorporation set by the Act. Notice of the situation of the registered office is filed with RJSC, normally at incorporation, and any later change must be notified within the period the Act prescribes.

The company's name must be painted or affixed outside the registered office and every place of business, and must appear with the registered office address on its business letters and official documents. Statutory registers, such as the register of members, are ordinarily kept at the registered office unless the law allows otherwise.

Where a physical premises or rental deed is required

RJSC records the address you notify but does not usually require a lease at incorporation. Other registrations linked to that address are stricter, so plan for them before choosing the location.

  • Trade license: City Corporations, Pourashavas and Union Parishads typically require a rental agreement or ownership documents, often with the landlord's holding tax receipt, for the business premises
  • BIN registration on the NBR VAT online system: requires business premises details, and VAT officers may verify the premises
  • Bank account opening: banks verify the business address as part of KYC and may visit
  • BIDA registration and work permits for foreign nationals: applications generally require office address details and supporting documents
  • Sector licences, such as IRC, fire licence or environmental clearance, often refer to the premises named on the trade license

Changing your registered address

A change is approved by a board resolution and notified to RJSC within the prescribed time. If the move takes the office outside the area stated in the memorandum of association, additional steps may be needed, so check the memorandum first. After RJSC, update every other registration that shows the old address.

  • Board resolution approving the new registered office
  • Notice of change filed with RJSC with the prescribed fee
  • Trade license address change or new license from the relevant local authority
  • BIN information update on the VAT online system
  • e-TIN and income tax records, and bank KYC update
  • Letterhead, seal, website and signage updated with the new address

Choosing the right address

A director's home, a family-owned property, a serviced office or a leased floor can all serve as a registered address if the documents support it. Problems arise when the address is a residence in an area where the local authority will not issue a trade license for your activity, or when the owner will not sign an agreement. Agree the rental or licence terms in writing, in the company's name, and consider VAT on rent and tax deduction at source on rent, which may apply depending on the parties.

Common mistakes

These are the issues that most often cause trouble at renewal time or during an inspection.

  • Changing the trade license address but not notifying RJSC, or the reverse
  • Using an address where nobody receives post, so tax and court notices go unanswered
  • Rental agreement in a director's personal name instead of the company's
  • Not displaying the company name at the registered office
  • Forgetting to update BIN details after moving, leading to mismatches on VAT records

How the process works

  1. Confirm the premisesCheck that the location suits your activity and that the owner will sign an agreement in the company's name.
  2. Prepare documentsRental or licence agreement, owner's documents and, for a change, a board resolution.
  3. File with RJSCNotify the registered office at incorporation or file the notice of change within the prescribed time.
  4. Update local and tax registrationsAmend the trade license, BIN, e-TIN and other licences to the same address.
  5. Update banks and stationeryComplete bank KYC updates and change letterheads, seal and signage.

Typical timeline: The RJSC filing itself is usually quick once documents are ready; updating the trade license, BIN and bank records typically takes a few weeks overall depending on each authority's processing.

Frequently asked questions

Can my home address be my company's registered address?

It can be notified to RJSC as the registered office, but check two things: whether the local authority will issue a trade license for your activity at a residential address, and whether you are comfortable with legal notices and the company name displayed there. Many founders use home addresses initially and move once they take an office.

Does RJSC require a rental agreement for the registered office?

RJSC generally records the address notified by the company and does not ordinarily ask for a lease at incorporation. However, the trade license, BIN and bank account that follow usually do require proof of premises, so in practice you need a supportable address from the start.

How do I change my company's registered address in Bangladesh?

Pass a board resolution, file the notice of change of registered office with RJSC within the period the Companies Act allows, and pay the fee. Then update your trade license, BIN, e-TIN and bank records. If the new location is outside the area stated in your memorandum, further steps may be required.

Is a registered address the same as a place of business?

Not necessarily. The registered office is the legal address recorded with RJSC. A company may operate from other places of business, such as a factory or branch, each of which may need its own trade license and, for VAT, may be registered as a branch or central registration. The company name must be displayed at each place of business.

What happens if we do not update the registered address?

Notices may be served at the old address and treated as received, filings can be inconsistent, and late notification can attract penalties under the Companies Act. Mismatched addresses on the trade license, BIN and bank records also cause delays at renewal and during VAT or bank verification.
