An umbrella company in Bangladesh is a local entity that formally employs or contracts workers on behalf of a client business, runs their payroll, deducts tax at source under the Income Tax Act 2023, and issues contracts consistent with the Bangladesh Labour Act 2006. It lets foreign companies and project owners use people in Bangladesh without first registering their own entity, while keeping tax and employment obligations handled locally.
An umbrella company in Bangladesh is a practical answer to a common question: how can a business use people here before, or instead of, setting up its own company? Foreign firms testing the market, project owners with short-term needs and agencies placing freelancers all face the same issues of contracts, payroll, tax deduction and invoicing that a properly registered local entity must handle.
This page explains how umbrella or employer-of-record style arrangements work in Bangladesh, who they suit, where their limits lie, and how they compare with opening a branch or subsidiary. It is written for HR heads, procurement managers and founders weighing their options for a first team in Bangladesh, not for contractors looking for jobs.

How an umbrella company model works in Bangladesh
The umbrella entity signs an employment or service contract with the individual and a service agreement with the client. The client directs the day-to-day work; the umbrella entity pays the individual, deducts tax at source, keeps employment records and invoices the client for salary costs plus a service fee. VAT applies to the service fee and, depending on how the service is structured, to the invoice under the VAT and SD Act 2012.
The term is also sometimes used loosely for a holding company that sits above a group of businesses. That is a separate structuring question, covered on our company formation and restructuring pages.
Who uses umbrella company arrangements
In each case the aim is the same: people are paid correctly, taxes are deducted and deposited, and contracts reflect Bangladesh law.
- Foreign companies hiring their first one to ten people in Bangladesh before deciding on a branch or subsidiary
- Project owners needing specialists for a defined period, such as an audit, implementation or construction phase
- Businesses converting long-term freelancers into properly documented workers
- International agencies that need local payroll for staff assigned to Bangladesh projects
- Startups that want payroll handled while founders focus on product

Tax and employment law points to get right
Arrangements fail when the paperwork does not match reality. The points below deserve attention before anyone starts work.
- Salary income of employees is subject to tax deduction at source, and annual salary certificates should be issued for their returns
- Payments to contractors who are not employees are subject to TDS at rates set by the current Finance Act
- Contracts should state whether the person is a worker under the Bangladesh Labour Act 2006 or an independent contractor, with consistent terms
- Leave, festival bonus, notice and termination benefits must follow the Labour Act where it applies
- Foreign nationals still need a valid visa and work permit; an umbrella arrangement does not replace those
- The client should avoid creating a taxable presence in Bangladesh through its own activities without advice
Limits and risks of the umbrella model
An umbrella arrangement is not a licence to operate a business in Bangladesh. The client cannot sign local sales contracts, hold licences or invoice Bangladeshi customers through it. If the people engaged effectively run the client's business here, tax authorities may view the client as having a permanent establishment under the Income Tax Act 2023 or a relevant tax treaty. Long-term, larger teams usually justify a subsidiary or branch, and the umbrella model is best seen as a bridge or a flexible staffing tool.
Umbrella company versus your own entity
Setting up a subsidiary takes time and adds annual compliance costs, but gives full control, local contracting capacity and a direct employer relationship. An umbrella arrangement can begin faster with lower fixed cost, but you pay a service fee and rely on a third party. We help clients compare total costs over a realistic horizon, including payroll, VAT on service fees, audit and RJSC costs, before choosing.
How the process works
- Needs assessmentWe understand the roles, duration, locations and whether the people are employees or contractors.
- Structure and cost modelWe compare umbrella, contractor and own-entity options with an indicative cost and risk view.
- ContractsWe prepare the service agreement with the client and Labour Act-aligned contracts for the individuals.
- OnboardingWe collect TIN, NID and bank details, set up payroll records and confirm work permits for foreign nationals.
- Monthly payroll and taxWe run payroll, deduct and deposit tax at source, file withholding returns and invoice the client.
- Review and transitionWe review the arrangement periodically and support transfer of staff to your own entity when you set one up.
Typical timeline: Once contracts are agreed and onboarding documents are ready, payroll can usually begin within a few weeks; work permits for foreign nationals take longer and depend on BIDA processing.

Frequently asked questions
Is an umbrella company legal in Bangladesh?
Yes, provided it is structured properly. A registered Bangladeshi entity can employ or contract people and provide their services to a client under a service agreement, as long as Labour Act, tax and VAT obligations are met and the arrangement reflects the real working relationship.
Is an umbrella company the same as an employer of record?
They are similar. An employer of record formally employs staff for a client and handles all employer duties. Umbrella company is a broader term that can also cover contractors paid through the entity. In Bangladesh both rely on the same legal basis: a local entity contracting the individual and providing services to the client.
Can a foreign company hire in Bangladesh without registering an entity?
It can engage independent contractors directly or use a local umbrella or employer-of-record arrangement. It cannot easily run local payroll or deduct Bangladesh tax itself without registration. If the activities amount to doing business in Bangladesh, a branch or subsidiary may be required.
Who deducts tax for workers under an umbrella arrangement?
The umbrella entity, as the paying party, deducts tax at source from salaries or contractor payments, deposits it with the government and files the withholding returns. Employees still file their own annual income tax returns where required and use the salary certificate as evidence.
Does VAT apply to umbrella company invoices?
VAT generally applies to the service provided by the umbrella entity to the client under the VAT and SD Act 2012. How the invoice is structured affects the VAT base, so we review the arrangement before the first invoice is issued with a Mushak 6.3.
When should we move from an umbrella model to our own company?
Consider moving when the team becomes large or permanent, when you need to sign local contracts, hold licences or invoice Bangladeshi customers, or when permanent establishment risk grows. We help plan the transfer of staff and their accrued benefits to your new entity so service continuity is not affected.
