Company management in Bangladesh refers to how a company is directed and controlled under the Companies Act 1994 and its Articles of Association: the board of directors takes decisions through properly convened meetings and resolutions, shareholders exercise their rights at general meetings, and the company keeps statutory registers, minutes and filings with RJSC. Good management keeps decisions valid, records reliable and directors protected from personal liability.
Company management in Bangladesh is often treated informally, especially in owner-run businesses where the shareholders and directors are the same few people. Decisions are made over a phone call, and nobody records them. The Companies Act 1994, however, expects decisions on matters such as share allotments, borrowing, auditor appointment and director changes to be taken in the correct forum and documented.
This page is for directors, managing directors and owners who want their company's governance to stand up to scrutiny from banks, auditors, investors and NBR. It focuses on how the company is run internally, rather than on registering it or filing annual returns, which are covered on our incorporation and compliance pages.

Who manages a company under Bangladesh law
The Articles of Association divide power between the board of directors and the shareholders in general meeting. Day-to-day management is usually delegated by the board to a managing director or chief executive, but the board remains responsible. Shareholders keep reserved powers, such as amending the MoA or AoA, changing the company's name, increasing authorised capital and approving voluntary winding up, which usually require a special resolution.
Directors' duties and personal exposure
Directors owe duties to the company to act in good faith, with reasonable care and within their powers. They must disclose interests in contracts with the company, avoid conflicts, and ensure statutory filings are made. Under tax and VAT law, principal officers and directors can face consequences when the company fails to deduct and deposit TDS, or to pay VAT collected from customers.
Directors in Bangladesh commonly underestimate the following obligations:
- Signing financial statements that are later found to be materially wrong
- Allowing the company to keep trading while unable to pay its debts
- Approving related-party transactions without disclosure or proper approval
- Ignoring RJSC filing deadlines, which can lead to fines on officers in default
- Leaving withholding tax and VDS obligations unmanaged

Board meetings, general meetings and resolutions
Board meetings should be called with notice as the Articles require, have a quorum and record decisions in minutes signed by the chair. Every company must hold an Annual General Meeting each year to adopt audited accounts, appoint auditors and elect directors who retire by rotation where the Articles provide for it. Extraordinary general meetings handle urgent shareholder matters between AGMs.
Where the Articles allow, written resolutions or virtual meetings can reduce the burden on directors who live abroad, but the authority for them should be clear in the Articles.
Statutory registers and records to keep
A well-managed company can produce its records within a day when a bank, auditor or buyer asks. The minimum set is listed below.
- Register of members and share ledger, with share transfer records
- Register of directors, managers and their shareholdings
- Register of charges, mortgages and loans secured on company assets
- Minute books for board and general meetings
- Copies of all RJSC filings, including Form XII, annual returns and resolutions
- Books of account adequate to prepare financial statements under BFRS or IFRS
When governance support is most valuable
Governance work pays off before events that test it: raising investment, taking a bank loan, bringing in a foreign partner, admitting a new shareholder, or a dispute between founders. It also matters when family-owned companies move to a second generation and need clear authority lines. In each case, clean minutes and registers make the transaction faster and reduce argument about who decided what.
How the process works
- Governance reviewWe read your MoA, AoA, past minutes and RJSC filings to understand who holds which powers today.
- Gap reportYou receive a short report on missing resolutions, outdated registers and unfiled changes, ranked by risk.
- Regularise recordsWe prepare ratifying resolutions and update registers and RJSC filings so the record matches reality.
- Set a governance calendarWe schedule board meetings, the AGM, auditor appointment and filing dates for the year.
- Ongoing meeting supportFor each meeting we draft notices, agendas, board papers templates and minutes, and file what RJSC requires.
Typical timeline: An initial governance review usually takes one to three weeks depending on how complete your records are; regularisation filings then follow RJSC's processing time.

Frequently asked questions
Does a private limited company in Bangladesh need to hold an AGM?
Yes. Every company registered under the Companies Act 1994 must hold an Annual General Meeting each calendar year, within the time limits the Act sets after the previous AGM and the year-end. The AGM adopts audited accounts, appoints auditors and handles director rotation. The annual return is then filed with RJSC based on the AGM.
Can a foreign director manage a Bangladesh company from abroad?
A foreign director can sit on the board and take part in decisions remotely where the Articles permit. However, a person who works in Bangladesh for the company needs a valid visa and work permit. Many foreign-owned companies appoint a local managing director or manager for daily operations.
What is the difference between an ordinary and a special resolution?
An ordinary resolution passes with a simple majority of votes at a general meeting. A special resolution requires a higher majority, as set by the Companies Act, and proper notice stating the intention to propose it. Special resolutions are needed for major matters such as amending the Articles or changing the company's name.
Are minutes legally necessary if all directors agree?
Yes. Minutes are the company's evidence that a decision was properly taken. Banks ask for certified board resolutions to open accounts or change signatories, RJSC requires resolutions for many filings, and auditors rely on minutes. Unrecorded decisions are hard to prove and easy to dispute later.
How do we fix years of missing minutes and registers?
Missing records can usually be regularised by reconstructing registers from available documents and passing ratifying resolutions that confirm past decisions. Where filings with RJSC were missed, late filings may attract fees. A governance review identifies what can be ratified internally and what needs filing.
Is company management the same as company secretarial service?
They overlap. Company secretarial service focuses on statutory records and filings. Company management support, as we use the term, also covers how the board is structured, how authority is delegated, how meetings are run and how directors understand their duties.
