Company tax in Bangladesh is the set of income tax obligations a company carries under the Income Tax Act 2023: tax on its annual profit at the rate fixed by the current Finance Act, advance tax instalments, minimum tax rules, tax deducted at source from its own receipts, and its duty to withhold tax from payments it makes to staff, suppliers and landlords.
Many owners think company tax means one return filed once a year. In practice, company tax in Bangladesh is a running obligation. A private limited company registered with RJSC becomes a separate taxpayer the day it is incorporated, needs its own e-TIN, and from then on pays, collects and reports tax throughout the income year, whether or not it has made a profit.
This page is an orientation for owners and directors of small and mid-sized companies. It explains the different tax heads a company deals with, when money actually leaves the bank account, and where companies usually get caught out. For the filing mechanics of the annual return see our company tax return page; for rate and planning questions at larger corporates see corporate tax.

The tax heads every Bangladeshi company deals with
A company's tax position is the sum of several separate duties. Each has its own trigger, its own payment route and its own consequence if missed. Treating them as one bucket is the most common reason companies discover arrears during an assessment.
- Income tax on annual taxable profit, at the company rate set by the Finance Act for that year (rates differ for listed, non-listed, bank, telecom and other classes).
- Minimum tax rules that can apply on gross receipts even when the company reports a loss or very low profit.
- Advance tax paid in instalments during the year when the company's last assessed income crosses the threshold set in the Act.
- Tax deducted or collected at source from the company's own receipts (on imports, supplies, export proceeds, bank interest), which may be creditable or treated as final/minimum tax depending on the source.
- Withholding duties: deducting TDS from salaries, contractor bills, rent, professional fees and other payments, then depositing it and filing withholding returns.
- Tax on dividends the company declares, which must be deducted before shareholders are paid.
Company tax across the income year: a practical calendar
Most companies in Bangladesh use the July to June income year. Some, such as banks, insurers and certain subsidiaries of foreign groups, follow a different year with NBR approval. Whatever the year, the rhythm looks broadly similar.
Month to month, the finance team deducts TDS on payments and deposits it to the government treasury through A-challan or the approved e-payment channels within the time allowed. During the year, advance tax instalments fall due on fixed quarterly dates if the company is liable. After year-end, the accounts are closed, audited by a chartered accountant firm, and the annual return is filed by the company Tax Day, which is generally the 15th day of the seventh month after the income year ends.

Is your company paying the right amount of company tax?
Overpaying is as common as underpaying. Companies often lose credit for AIT collected at import stage or tax deducted by customers because they never collect the certificates. Others add back expenses that are fully allowable, or miss depreciation allowances under the Third Schedule. On the other side, owners sometimes run personal expenses through the company, pay cash for large expenses that the Act disallows, or ignore minimum tax and are then surprised at assessment.
- Reconcile every TDS certificate received from customers with your sales ledger before year-end.
- Check whether large cash payments meet the bank-transfer conditions the Act sets for allowability.
- Separate directors' personal costs from company expenses and document perquisites properly.
- Review whether any income is taxed at a reduced rate or exempt under a valid SRO.
What happens if company tax obligations are missed
The Income Tax Act 2023 provides for interest on late or short payment of advance tax, penalties for failure to file the return on time, and disallowance of expenses where the company failed to deduct or deposit tax at source. A company that does not file may also be assessed on a best-judgement basis by the Deputy Commissioner of Taxes of its Taxes Circle. Exact rates of penalty and interest are set in the Act and change from time to time, so we check the current provisions for every case rather than quoting a fixed figure.
Beyond money, unresolved tax issues create practical blocks: banks ask for PSR and return copies when renewing facilities, tenders require tax clearance, and foreign shareholders need clean tax records before dividends can be remitted through an authorised dealer bank.
New companies and dormant companies
A newly incorporated company should obtain its e-TIN immediately after receiving the RJSC certificate, because banks, BIN registration with the VAT authority and trade license renewal will ask for it. Even if it earns nothing in the first year, it still files a return. A dormant company that has stopped trading but has not been wound up through RJSC remains a taxpayer and keeps receiving notices until it is formally closed.

Frequently asked questions
Does a company with no profit still have to pay company tax in Bangladesh?
It may. A loss-making company still files a return, and minimum tax provisions can apply on gross receipts, while tax already deducted at source on certain receipts may be treated as minimum tax. Losses can usually be carried forward against future business income within the limits the Act sets, so filing properly in a loss year protects that benefit.
Is company tax the same as VAT?
No. Company tax is income tax on profit and related withholding, administered by the Taxes Zones under the Income Tax Act 2023. VAT is a tax on supplies of goods and services under the VAT and SD Act 2012, administered by VAT Commissionerates through the BIN and monthly Mushak 9.1 return. Most companies deal with both, but they are separate systems.
What is the company tax rate in Bangladesh?
The rate depends on the company's category, for example listed or non-listed, bank, mobile operator or tobacco manufacturer, and sometimes on conditions such as receiving and spending through banking channels. Rates are set by the Finance Act each year, so we confirm the applicable rate for your income year rather than relying on an old table.
Who is responsible if the company fails to deduct TDS?
The company is treated as the person responsible for deduction. It may have to pay the undeducted tax itself, can face interest and penalty, and the related expense may be disallowed in its own assessment. Directors and the principal officer are expected to ensure the system works, so a clear monthly routine is essential.
Can the owners pay company tax from their personal account?
Tax should be paid against the company's own e-TIN through a challan or e-payment showing the company's details. Payments made in a director's name do not automatically create credit for the company and can confuse both returns. Keep company tax payments in the company's name and bank account.
