An audit report in Bangladesh is the independent auditor's written opinion on whether a company's financial statements give a true and fair view under the applicable framework. It is issued by a practising chartered accountancy firm under International Standards on Auditing as adopted, and registered on ICAB's Document Verification System. The opinion may be unmodified, qualified, adverse or a disclaimer, and it affects tax, banking and tender outcomes.
An audit report is short, but it is one of the most scrutinised pages a company produces. The NBR attaches it to the company tax return file, banks read it before renewing credit lines, tender committees ask for it as eligibility evidence, and foreign parents and investors check it for any modification. A single qualified paragraph can delay a loan or raise questions in an assessment.
This page is for directors, finance managers and business owners who want to understand what their audit report says, verify that it is genuine, and deal with any modification. It also helps those reviewing another company's audit report, for example a buyer, lender or business partner. For the audit process itself, see our statutory auditing services page.

The four types of audit opinion
- Unmodified (clean) opinion: the statements give a true and fair view in all material respects
- Qualified opinion: the statements are fairly presented except for a specific matter, either a material misstatement or a limitation on evidence that is material but not pervasive
- Adverse opinion: misstatements are both material and pervasive, so the statements as a whole do not give a true and fair view
- Disclaimer of opinion: the auditor could not obtain enough evidence to form an opinion, and the possible effects are material and pervasive
Other paragraphs you may see
Not every additional paragraph is a modification. An emphasis of matter paragraph draws attention to something already disclosed in the notes, such as a pending legal case, without changing the opinion. A material uncertainty related to going concern section highlights doubts about the company's ability to continue. Key audit matters appear mainly in reports on listed and other public interest entities. An other matter paragraph covers points relevant to users that are not in the financial statements.
Readers sometimes treat these paragraphs as negative findings. They are important information but differ from a qualification, and it helps to explain them to banks or partners proactively.

Verifying an audit report through DVS
ICAB's Document Verification System lets users confirm that an audit report was actually issued by a registered audit firm for that company and period. The auditor registers the report and provides a DVS code. NBR officers, banks and other institutions use the code to check authenticity. When you receive your report, confirm the DVS code is present and valid, and when you rely on a counterparty's report, ask for the code and verify it.
Why a modified audit report causes problems
- Tax officers may focus their assessment on the qualified area, such as unsupported expenses or inventory
- Banks may require explanations, additional security or a corrective plan before renewing facilities
- Tender evaluation may score the bidder down or reject the bid if a clean report is required
- Foreign parents may need to disclose the issue in group reporting
- Buyers in an acquisition may reduce price or seek specific indemnities
Dealing with a qualified or adverse opinion
Understand the exact reason first. Many qualifications in Bangladesh relate to fixable record issues: inventory without a proper year-end count, unreconciled receivables, unsupported fixed asset additions, missing gratuity provisions, or share money deposits not properly converted into share capital. Fixing the cause in the current year usually allows the auditor to remove the qualification next year, though comparative figures may still be affected.
Do not pressure the auditor to change an opinion without new evidence; that undermines the report's value and is professionally improper. Instead, provide the missing evidence where possible, or correct the accounts, and agree a plan for the following year.
How the process works
- Read the reportWe walk you through the opinion, basis paragraph and any emphasis or other matter paragraphs.
- Verify DVSWe confirm the DVS registration and that the report matches the signed financial statements.
- Root-cause reviewFor any modification, we identify the underlying record or accounting issue.
- Remediation planWe set out the corrections, documents or procedures needed to resolve it for the next audit.
- Stakeholder explanationWe help prepare explanations for banks, tender committees or the parent company where needed.
Typical timeline: Reviewing an audit report and preparing a remediation plan typically takes a few working days; resolving the underlying issue may take until the next financial year end, depending on its nature.

Frequently asked questions
Who can sign an audit report in Bangladesh?
A statutory audit report must be signed by a practising chartered accountant from a firm entitled to carry out audits, generally a member firm of ICAB, and for public interest entities, enlisted with the FRC where required. The firm must be independent of the company.
Is an emphasis of matter paragraph a qualification?
No. An emphasis of matter paragraph draws attention to a matter already properly disclosed, such as a pending lawsuit. The opinion remains unmodified. It is still useful to explain the matter to banks or partners so it is not misunderstood.
Can the NBR reject an audit report?
Tax officers can question a report that lacks valid DVS verification or appears inconsistent with the return. They are not bound by the audit opinion when assessing tax and can make their own adjustments under the Income Tax Act 2023. A DVS-verified, clean report reduces friction.
How do I check if a supplier's audit report is genuine?
Ask for the DVS code and verify it through ICAB's verification system. Also check that the company name, period and figures match the financial statements you received. Discrepancies are a warning sign in tenders, credit decisions and acquisitions.
Our report has a going concern paragraph. Should we worry?
It means the auditor concluded there is a material uncertainty about the company's ability to continue, usually due to losses, negative equity or financing issues. It is a serious signal to lenders and partners, and management should have a credible plan to address it, ideally disclosed in the notes.
Can an audit report be reissued?
Only in limited circumstances, such as when the financial statements are revised and re-audited. An auditor will not simply change an opinion on request. If errors are found after issue, discuss with the auditor whether revised statements and a new report are appropriate.
