The VAT & SD Act 2012 (Value Added Tax and Supplementary Duty Act 2012) is Bangladesh's main indirect tax law. In force since 1 July 2019 and supported by the VAT Rules 2016, it imposes VAT at a 15% standard rate with reduced rates and exemptions in its schedules, levies supplementary duty on specified items, and sets rules for registration, invoicing, input credit, returns, audits, penalties and appeals.
The VAT & SD Act 2012 replaced the VAT Act 1991 and is administered by the National Board of Revenue (NBR) through VAT Commissionerates, the Large Taxpayers Unit (VAT) and specialised directorates. It is amended almost every year through the Finance Act, and detailed rates and exemptions are adjusted through SROs. Reading the Act alone is rarely enough; you need the current schedules and orders alongside it.
This page is a structured English explainer for managers, accountants, foreign investors and in-house counsel who want to understand how the law fits together. It focuses on concepts and obligations rather than rate tables, which change. Structure of the VAT & SD Act 2012
The Act is organised into chapters covering imposition, registration, taxable value, supplementary duty, input tax credit and adjustments, records and invoices, returns and payment, refunds, audit and investigation, offences and penalties, recovery, and appeals. The key schedules are:
- First Schedule: goods and services exempt from VAT
- Second Schedule: goods and services liable to supplementary duty, with the applicable rates
- Third Schedule: goods and services subject to reduced or specific VAT rates
- These schedules are changed by Finance Acts and supplemented by SROs, so the current version must always be checked
Core concepts every business should understand
- Taxable supply: a supply of goods or services in Bangladesh, or an import, that is not exempt
- Value of supply: generally the consideration for the supply, with specific rules for related-party transactions and imports
- Registration and enlistment: businesses above the threshold register for VAT; smaller ones enlist for turnover tax; voluntary registration is possible
- Input tax credit: VAT paid on purchases for taxable supplies can be credited, subject to valid invoices, time limits and blocked items
- Withholding (VDS): specified entities deduct VAT from payments to suppliers and issue Mushak 6.6 certificates
- Reverse charge: VAT on certain imported services is accounted for by the recipient in Bangladesh
- Tax period: one month, with the Mushak 9.1 return due by the 15th of the following month

How the 2012 Act changed the old VAT system
Compared with the 1991 law, the 2012 Act moved towards VAT on actual transaction value, online registration and filing, and a formal input-output coefficient regime for manufacturers through Mushak 4.3. Several features of the original 2012 design, notably a single uniform rate, were modified before implementation, which is why the Act now has multiple reduced rates in the Third Schedule. The result is a modern legal framework with a number of practical exceptions that businesses need to map against their own products and services.
Audits, penalties and appeals under the Act
VAT officers can request records, conduct audits and, in specified circumstances, inspect premises. Investigations may be led by the commissionerate or the VAT intelligence directorate. Where an officer believes VAT was under-paid, a show-cause notice is issued and, after a hearing, a final order may be passed with tax, interest and penalty.
The Act sets out an appeal route, typically first to the Commissioner (Appeals) and then to the Customs, Excise and VAT Appellate Tribunal, with further recourse to the High Court Division on questions of law. Appeals often require a pre-deposit of part of the disputed amount, and strict time limits apply. Alternative Dispute Resolution may also be available. Because these details are amended over time, check the current text before acting on a notice.
Who should read the Act closely?
- Manufacturers, because price declarations, inputs and wastage directly drive VAT liability
- Importers, who pay VAT and advance tax at import and need to recover it through credit
- Service providers to banks, government and large companies, who are affected by VDS
- Foreign companies supplying services into Bangladesh, which may fall under reverse charge
- Businesses with mixed taxable and exempt supplies, which must apportion input credit
How the process works
- Map your suppliesList each product and service and identify its HS or service code, and whether it is standard-rated, reduced-rated, exempt or SD-liable.
- Check registrationConfirm your BIN type, registered activities and branch structure match how you actually trade.
- Review input creditIdentify which purchases carry creditable VAT and which are blocked or need apportionment.
- Review VDS positionConfirm whether you are a withholding entity, a supplier subject to VDS, or both.
- Set controlsPut invoice, register, return and payment controls in place so the 15th-of-month deadline is met reliably.
- Monitor changesEach Finance Act and new SRO is reviewed for impact on your rates and procedures.
Typical timeline: A focused review of how the VAT & SD Act 2012 applies to a typical business usually takes one to three weeks, depending on the number of products, sites and records involved.

Frequently asked questions
When did the VAT & SD Act 2012 come into effect?
The Act was passed in 2012 but implementation was deferred. It came into force on 1 July 2019, replacing the VAT Act 1991, together with the VAT Rules 2016. Matters relating to earlier periods are generally still handled under the 1991 law through the saving provisions.
Is there one VAT rate under the 2012 Act?
No. The standard rate is 15%, but the Third Schedule sets reduced rates for many goods and services, the First Schedule lists exemptions, and the Second Schedule imposes supplementary duty on specified items. These are amended through the Finance Act and SROs, so rates should be checked for each item and year.
What are the VAT Rules 2016?
The VAT Rules 2016 are the subordinate rules made under the 2012 Act. They prescribe procedures and forms, including the Mushak series for registration, invoices, registers, price declarations, VDS certificates and returns. The Act states the obligations; the Rules explain how to carry them out in practice.
Does the Act apply to foreign companies?
Yes, where a foreign company makes taxable supplies in Bangladesh. A local branch or subsidiary registers like any other business. A non-resident supplying services without a local presence may need a VAT agent, or the recipient may have to account for VAT under reverse charge. The structure of the transaction determines the treatment.
Can a VAT dispute be settled without going to court?
Many issues are resolved at the response or hearing stage by producing proper records. The law also provides Alternative Dispute Resolution in VAT matters, and formal appeals to the Commissioner (Appeals) and the Appellate Tribunal. Choosing the right route depends on the issue, amount and deadlines.
Where can I get the official text?
The NBR publishes the Act, Rules, schedules and SROs on its website, and the Act is available in the Bangladesh Code. The Bangla text is the authoritative version. Make sure you are reading the latest amended version, as the Finance Act changes the law every year.
