An SRO (Statutory Regulatory Order) in Bangladesh is a legal instrument published in the official Gazette under powers given by an Act. In tax, SROs issued by the National Board of Revenue or the Internal Resources Division grant exemptions, set reduced VAT or duty rates, fix withholding rates and prescribe conditions. An SRO has the force of law but only within the limits of its parent Act.
Much of Bangladesh's tax law is not in the Acts themselves. The VAT and Supplementary Duty Act 2012, the Income Tax Act 2023 and the Customs Act 2023 give the government and the NBR power to exempt, reduce or condition taxes, and those powers are exercised through SROs. A single product can be standard-rated under the Act and partly exempt under an SRO, often with conditions such as a certificate, an end-use declaration or a time limit.
This page is for importers, manufacturers, project companies, NGOs and finance teams who have been told an SRO exempts them, or who need to know whether one exists. It explains what an SRO is, how it differs from general orders and NBR clarifications, how to find the current version, and the mistakes that turn an apparent exemption into a demand notice.

What an SRO does in tax and VAT
- Grants full or partial exemption from VAT, supplementary duty, customs duty or income tax for specified goods, services, sectors or persons
- Sets reduced rates or specific (fixed-amount) tax on certain items
- Fixes rates or procedures for VAT deduction at source and for advance or withholding tax
- Grants concessions to export-oriented industries, economic zones, hi-tech parks or specific projects
- Prescribes conditions, such as registration, certificates from a sponsoring ministry, or approval from BEZA, BEPZA or BIDA
- Amends or rescinds earlier SROs, often effective from the Finance Act date of 1 July
SRO vs general order vs NBR clarification
An SRO is a statutory instrument with legal force once published in the Bangladesh Gazette. A general order (GO) under the VAT law usually deals with procedures and administration. NBR clarification letters or explanatory notes interpret existing law for officers and taxpayers; they are persuasive and useful but generally do not override the Act or an SRO.
This hierarchy matters in disputes. If an SRO's conditions are not met, a clarification letter suggesting a broader reading may not protect you. Conversely, an SRO cannot validly go beyond the power granted by its parent Act, which is sometimes the basis of a legal challenge.

How to find the right SRO
SROs are numbered by year and identified with the relevant law, for example an SRO number with "Ain/2024/...-Mushak" for VAT instruments. They are published on the NBR website and in the Gazette. The main difficulty is that SROs are frequently amended, consolidated, replaced or allowed to lapse, so an SRO that applied last year may not apply now.
When checking an exemption, read the latest version, check its effective date, confirm whether a later SRO amended or rescinded it, and match your goods or service against the exact HS code or service code and description in the table. A near match is not enough.
Common mistakes with SROs
- Relying on an old SRO that was rescinded or replaced in a later Finance Act cycle
- Matching by product name rather than the exact HS code or service code in the SRO table
- Ignoring conditions, such as end-use, a required certificate, registration type or a cap on quantity
- Assuming an exemption at import also exempts the local supply stage, or vice versa
- Not keeping evidence that conditions were met at the time, which is what auditors ask for later
- Treating a supplier's or customer's verbal assurance about an SRO as sufficient
Who needs SRO advice?
SRO questions arise most often for importers of machinery and raw materials, manufacturers in sectors with concessions, businesses in economic zones and hi-tech parks, utility and infrastructure projects, NGOs and donor-funded projects, and companies supplying to exempt or concessionary buyers. Foreign investors frequently ask about SRO-based incentives during feasibility studies; the answer usually depends on detailed conditions rather than the headline exemption.
How the process works
- Define the transactionWe identify the goods or service, HS or service code, the tax involved and the stage: import, manufacture, supply or payment.
- Search SROsWe locate relevant SROs, general orders and NBR clarifications, including amendments and rescissions.
- Check conditionsWe list every condition in the SRO and check whether you meet each one, with the evidence required.
- Written opinionWe provide a short written note confirming the applicable SRO, the treatment and the records to keep.
- Apply in practiceWe help reflect the SRO correctly in invoices, Mushak 9.1 returns, customs declarations or tax returns.
Typical timeline: A standard SRO applicability check usually takes a few working days; complex cases involving several taxes, project approvals or historical periods can take longer depending on records.

Frequently asked questions
What does SRO stand for?
SRO stands for Statutory Regulatory Order. It is a form of subordinate legislation issued under powers granted by an Act of Parliament and published in the Bangladesh Gazette. In tax matters, most SROs come from the NBR or the Internal Resources Division of the Ministry of Finance.
Is an SRO legally binding?
Yes, once properly published it has the force of law within the scope of the power given by its parent Act. Both taxpayers and officers must follow it. An SRO that goes beyond the authority in the Act may be challenged, but until a court decides otherwise, it is usually applied as written.
Do SROs change every year?
Many do. The budget and Finance Act each June are typically accompanied by new or amended SROs effective from 1 July. Some SROs are also issued mid-year. Businesses relying on an exemption should review their position every July and whenever the NBR publishes new instruments.
Where can I download NBR SROs?
The NBR publishes SROs on its official website, organised by VAT, customs and income tax, and they appear in the Bangladesh Gazette. The Bangla text is authoritative. Make sure you have the latest version and any later amendments, as older copies circulate widely online.
Our supplier says their service is exempt under an SRO. Should we still deduct VAT at source?
Ask for the specific SRO number and check it yourself, including the conditions and the service code. If the supply genuinely falls within an exemption, VDS may not apply, but if the claim is wrong, the withholding entity can be held responsible. Keep a copy of the SRO and your assessment on file.
Can an SRO apply retrospectively?
SROs normally take effect from their stated date, usually publication or a specified future date. Retrospective relief is unusual and should not be assumed. If you paid tax before an exemption came into force, a refund is generally not available simply because the SRO was later issued.
