Sourcing and procurement together form the source-to-pay cycle. Sourcing identifies, evaluates and contracts suppliers; procurement then requisitions, orders, receives and pays. In Bangladesh a sound cycle also checks the supplier's BIN, obtains a Mushak 6.3 VAT invoice, deducts VAT and income tax at source where required, and keeps a file that auditors and tax officers can follow.
Sourcing and procurement are often used interchangeably, but they are different stages. Sourcing answers who should supply us and on what terms. Procurement answers how we order, receive and pay correctly every time. Problems in Bangladeshi companies usually sit at the joint between them: a supplier chosen without checking its VAT status, or a payment released without the withholding that the law requires.
This page is for accountants, admin heads and owners who want a clean, documented purchasing process that stands up to statutory audit and VAT inspection. It walks through the source-to-pay steps and the tax checks at each point. For category strategy see strategic sourcing; for outsourcing the process see procurement BPO services.

Sourcing vs procurement: the difference
Sourcing is periodic: it happens when a new need appears, a contract expires or the market changes. Its outputs are an approved supplier, agreed specifications and a price or rate contract. Procurement is continuous: it happens each time someone needs something, and its outputs are a purchase order, goods received note, matched invoice and payment with the correct deductions.
Keeping the roles separate, so the person who selects suppliers is not the person who approves payment, is one of the most effective internal controls a business can adopt.
The source-to-pay cycle step by step
Each stage should leave a document behind. If a stage has no record, it effectively did not happen as far as an auditor or the VAT office is concerned.
- Need identified and requisition raised with budget code
- Quotations or tender according to value thresholds in your purchase policy
- Comparative statement and approval by the authorised person
- Purchase order or contract issued to the selected supplier
- Goods or services received and inspected, with a receiving note
- Supplier invoice matched to PO and receipt (three-way match)
- Payment through a bank channel, net of VDS and TDS where applicable, with certificates issued

Tax checks built into procurement
Bangladesh places several obligations on the buyer, not just the seller. Building them into the PO and payment steps avoids penalties and lost credits.
- Confirm the supplier's BIN and that a Mushak 6.3 tax invoice will be issued for VATable supplies, so input tax can be claimed
- Check whether your entity must deduct VAT at source on the payment and issue a Mushak 6.6 certificate
- Apply tax deduction at source on supplies, contracts and services under the Income Tax Act 2023 at the rate set by the current rules
- Pay through a bank channel where the law requires it for the expense to be allowable
- Deposit deducted VAT and tax within the prescribed time and reflect them in Mushak 9.1 and withholding returns
Purchase policy essentials
A short written purchase policy, approved by the board or management, makes sourcing and procurement consistent. It should set value thresholds for direct purchase, quotations and open tender, name approvers at each level, define emergency purchase rules, require conflict-of-interest declarations and specify which documents form a complete purchase file. NGOs and donor-funded projects often need to follow donor procurement rules in addition to their own.
Common mistakes we fix
These issues recur in audits and VAT inspections.
- Quotations collected after the purchase to fill the file
- Invoices from suppliers without BIN, so no input credit is available
- VDS or TDS not deducted, leaving the buyer liable for the unpaid amount and penalties
- Split purchases to stay under an approval threshold
- No receiving note, so payment is made for goods never fully delivered
How the process works
- Review current practiceWe test a sample of recent purchases against policy, tax rules and documentation.
- Draft or update the purchase policyThresholds, approvers, quotation rules and file requirements are set out in one document.
- Design templatesRequisition, comparative statement, PO, receiving note and payment checklist with tax fields.
- Configure tax checksMap VDS and TDS treatment by supplier and purchase type in your accounting system.
- Train the teamShort sessions for requesters, approvers, stores and accounts on their part of the cycle.
- Periodic compliance reviewSample testing every quarter or half-year with a short findings report.
Typical timeline: A review and new policy with templates typically takes three to six weeks, depending on the size of the organisation and how quickly approvers review drafts.

Frequently asked questions
How many quotations are required for a purchase in Bangladesh?
For private companies there is no single legal number; it is set by your own purchase policy, and three quotations is a common practice for mid-value purchases. Government entities follow the Public Procurement Act and Rules, and donor-funded projects follow donor rules. Whatever the number, the comparative statement and approval should be dated before the order.
Who must deduct VAT at source on purchases?
VAT deduction at source applies to specified entities, such as government bodies, banks, insurance companies, NGOs and certain limited companies, on specified supplies, under the VAT and SD Act 2012 and related rules. The list of entities and services changes through SROs and Finance Acts, so we check your status and update the matrix when rules change.
Is TDS deducted on every supplier payment?
Not every payment, but many. The Income Tax Act 2023 requires deduction on payments for supplies, contracts and many services by specified persons, with rates and thresholds set by the current law. Exemptions and reduced-rate certificates may apply. Missing a required deduction can make the payer liable for the tax and can affect deductibility of the expense.
What documents make up a complete purchase file?
Typically the requisition, quotations or tender documents, comparative statement, approval, purchase order or contract, delivery challan and receiving note, supplier's Mushak 6.3 invoice, payment voucher, bank advice, and Mushak 6.6 or TDS certificates where deductions were made. Keeping these together saves time in audits and VAT inspections.
Can sourcing and procurement be done by the same person?
In small businesses it often is, but it weakens control. If one person must handle both, compensate with management review of supplier selection, payments only against matched documents and periodic independent sample checks. As volume grows, separating the roles is strongly advisable.
