Double Taxation Policy and DTAA Relief in Bangladesh

For foreign investors, cross-border service providers and residents with overseas income who want to avoid double tax.

Quick answer

Bangladesh's double taxation policy works through bilateral Double Taxation Avoidance Agreements (DTAAs) and the foreign tax credit rules in the Income Tax Act 2023. A DTAA decides which country may tax each type of income and often caps Bangladesh withholding on dividends, interest, royalties and technical fees. Relief is not automatic: the payee usually needs a tax residency certificate and proper documentation.

Double taxation policy questions arise whenever money crosses the border: a Bangladesh subsidiary paying dividends to its parent, a local company paying a foreign software vendor, a consultant flying in for a project, or a Bangladeshi resident earning interest abroad. Without relief, the same income can be taxed in both countries.

Bangladesh has signed treaties with a range of trading partners, including the United Kingdom, the United States, India, China, Japan, Singapore, Malaysia, Germany, the Netherlands, Canada and several Gulf and Asian countries. Each treaty is different, so the starting point is always the specific agreement, read together with the Income Tax Act 2023 and NBR practice.

How DTAAs work in Bangladesh

Most Bangladesh treaties follow the OECD or UN model. They allocate taxing rights by income type and give relief in one of two ways: a reduced rate or exemption in the source country, or a credit in the residence country for tax paid at source. Where a treaty rate is lower than the domestic withholding rate, the lower rate can be applied if the conditions are met.

  • Business profits: taxable in Bangladesh only if the foreign enterprise has a permanent establishment here
  • Dividends, interest and royalties: source-country tax capped at treaty rates
  • Fees for technical services: covered in some treaties, taxed as business profits in others
  • Employment income: short-stay exemption in some cases if the 183-day and employer conditions are met
  • Capital gains: allocation depends on the asset and the treaty

Claiming reduced withholding on payments abroad

When a Bangladesh company pays a non-resident, it must deduct tax at source before remitting. To apply a treaty rate rather than the domestic rate, the payer should hold evidence that the recipient qualifies. Banks processing the outward remittance under Bangladesh Bank's Guidelines for Foreign Exchange Transactions also look at the tax treatment, and some cases require a certificate or approval from the tax authority.

  • Tax residency certificate of the recipient from its home tax authority for the relevant period
  • Underlying agreement, invoice and evidence that the recipient is the beneficial owner
  • Declaration that the recipient has no permanent establishment in Bangladesh, where relevant
  • Any NBR certificate or approval that applies to the remittance

Foreign tax credit for Bangladesh residents

A resident individual or company taxed on worldwide income can generally claim credit in Bangladesh for tax paid abroad on the same income, limited to the Bangladesh tax on that income. Where a treaty exists, the treaty article governs; where none exists, unilateral relief under the Act may apply. You will need the foreign return or assessment and proof of payment, translated where necessary.

Permanent establishment risk

Foreign companies often assume they owe nothing in Bangladesh because they have no office. However, a project site, a dependent agent concluding contracts, or staff providing services here beyond treaty time limits can create a permanent establishment. Once a PE exists, profits attributable to it are taxable in Bangladesh and registration duties follow. We review contracts and staffing plans before work starts.

Common mistakes with double taxation relief

  • Applying a treaty rate without a valid, period-specific residency certificate
  • Assuming all service fees fall under business profits when the treaty has a technical services article
  • Ignoring VAT on imported services, which is not covered by income tax treaties
  • Claiming foreign tax credit without proof that the tax was actually paid
  • Not reflecting treaty-based deductions correctly in the withholding return

How the process works

  1. Identify the payment flowWe map the income type, payer, recipient and countries involved.
  2. Read the treatyWe check the relevant DTAA article, any protocol and the domestic rate under the Income Tax Act 2023.
  3. Collect evidenceWe list the residency certificates, declarations and contracts needed to support the treaty position.
  4. Apply reliefWe advise the withholding rate, prepare any application to the tax authority and coordinate with the remitting bank.
  5. Report correctlyWe reflect the deduction in withholding returns and the foreign tax credit in the annual return.

Typical timeline: Treaty analysis for a single payment stream typically takes a few working days; where an authority certificate or bank clearance is needed, timing depends on documents and the authority's processing.

Frequently asked questions

Does Bangladesh have a double taxation agreement with the USA?

Yes, Bangladesh has a tax treaty with the United States, as it does with the UK, India, China, Japan, Singapore and a number of other countries. Each treaty sets its own rates and conditions, so a US recipient should check the specific articles and provide a US residency certification before a reduced Bangladesh withholding rate is applied.

Is DTAA relief automatic?

No. The payer must be satisfied that the recipient is entitled to the treaty and must keep evidence, mainly a tax residency certificate and the underlying contract. Without that evidence, the domestic withholding rate under the Income Tax Act 2023 applies. Some remittances also need tax authority certificates before the bank releases funds.

Can I claim credit in Bangladesh for tax paid abroad?

If you are a Bangladesh resident taxed on worldwide income, you can generally claim credit for foreign tax on the same income, capped at the Bangladesh tax attributable to it. You need proof of foreign tax paid. Where a treaty applies, its relief article decides the method; otherwise unilateral relief under the Act may be available.

Do tax treaties cover VAT on foreign services?

No. Double taxation agreements cover income taxes. VAT on services imported from abroad is governed by the VAT and Supplementary Duty Act 2012 and is usually accounted for by the Bangladesh recipient under the reverse charge rules. Treaty relief on income tax withholding does not reduce that VAT.

What is a permanent establishment?

A permanent establishment is a fixed place of business, or certain project sites, service presences or dependent agents, through which a foreign enterprise carries on business in Bangladesh. If a PE exists, Bangladesh may tax the profits attributable to it. The exact tests and time limits vary by treaty, so they must be checked case by case.
