A startup legal session is a one-to-one advisory meeting where founders in Bangladesh review their business structure, founder and shareholder arrangements, RJSC filings, trade license, e-TIN, BIN and VAT position, employment documents and intellectual property. You book it by WhatsApp, share basic documents in advance, and leave with a prioritised written action list showing what to fix now, what can wait and what each step involves.
Most early-stage founders do not need a full retainer; they need an honest hour with someone who knows how RJSC, NBR, city corporations and Bangladesh Bank actually work. When you book a startup legal session with us, we look at where your company stands today and what the next six to twelve months of growth will demand from a legal and compliance point of view.
The session is built for decisions, not lectures. Founders arrive with questions such as whether to incorporate now, how to split equity with a late co-founder, whether VAT registration is needed for a SaaS product, or what an angel investor will ask to see. We answer those against your real documents and give you a short written plan you can act on yourself or hand to us.

What a startup legal session covers
We agree the agenda before the session so the time goes to your real issues. A typical session works through the following areas, in the order that matters most for your stage.
- Business structure: proprietorship, partnership under the Partnership Act 1932, or private limited company under the Companies Act 1994, and when to convert
- Founder equity, vesting, roles, IP assignment and what happens if a co-founder leaves
- RJSC status: Memorandum and Articles, share allotments, Form XII director records and annual return filings
- Registrations and licenses: trade license, e-TIN, BIN through Mushak 2.1, and any sector license your product needs
- Tax and VAT exposure: company income tax under the Income Tax Act 2023, TDS/AIT on payments, Mushak 6.3 invoices and Mushak 9.1 returns
- Contracts and people: customer terms, vendor agreements, employment letters under the Bangladesh Labour Act 2006, and contractor arrangements
- Brand and product protection: trademark filing with DPDT and copyright for software and content
Who should book a startup legal session
The session is most useful at turning points, when a wrong decision is cheap to fix today and expensive to unwind later. It suits Bangladeshi founders, diaspora founders returning to Dhaka and foreign founders setting up a first entity here.
- Pre-incorporation founders deciding on structure, shareholding and the name to clear with RJSC
- Teams that incorporated quickly through an agent and are unsure what was actually filed
- Startups about to sign their first enterprise customer, government tender or platform partnership
- Founders preparing for an angel round, accelerator or venture capital conversation
- Businesses that have received an NBR or VAT notice and want to understand their position
- Foreign or non-resident founders who need to know how share money must come in through banking channels

What to prepare before your session
You do not need perfect paperwork; the session exists partly to find the gaps. Sending what you have at least a day before lets us read it in advance and spend the meeting on answers rather than on reading. Scans or phone photos are fine.
- A one-page description of the business model, revenue streams and where customers are located
- Certificate of incorporation, Memorandum and Articles of Association and the latest shareholder list, if incorporated
- Trade license, e-TIN certificate and BIN certificate, if already obtained
- Any founder, shareholder or investor agreement, term sheet or draft you have received
- Sample customer contract or platform terms and one or two key vendor agreements
- Any notice, letter or email from NBR, a VAT Commissionerate, RJSC or a city corporation
- Your top five questions, ranked by urgency
What you receive after the session
Within a few working days of the session you receive a written note summarising our observations, the risks we see, and a prioritised action list divided into fix now, fix before fundraising and monitor. Where an item needs a government filing, the note names the authority, the form or process involved and the documents required, so you can handle it in-house if you prefer.
If you later instruct us to carry out the work, such as incorporation, BIN registration, a founders agreement or a trademark filing, the session notes become the starting brief and you do not pay to explain the business twice.
Common founder mistakes we see in these sessions
Many of the issues that slow down a startup in Bangladesh are simple and preventable. These come up again and again when founders book a startup legal session after the fact.
- Promising equity verbally to early team members without any written record or board approval
- Allotting shares without filing the return of allotment with RJSC, leaving the cap table and the official register out of line
- Building the product or brand in a founder's personal name so the company never owns its core IP
- Issuing invoices to corporate clients without BIN or a proper Mushak 6.3, which causes payment holds and VDS disputes
- Accepting money from a foreign friend or investor into a personal account instead of through the company's bank with proper documentation
- Missing the company income tax return because the business made a loss

Frequently asked questions
Is a startup legal session the same as hiring a lawyer for a full engagement?
No. A session is a focused advisory meeting that diagnoses your position and sets priorities. It does not include drafting full agreements or making filings. If you need that work done, we quote it separately after the session so you only pay for what you actually need, once the priorities are clear.
Can all co-founders join the session?
Yes, and we recommend it when the discussion involves equity, roles or vesting. Hearing the same explanation together avoids misunderstandings later. Online sessions make it easy for a co-founder based outside Dhaka or abroad to participate, and we can share a short agenda in advance so everyone comes prepared.
I have not incorporated yet. Is it too early to book?
It is often the best time. Decisions on structure, company name, authorised capital, shareholding and who owns the IP are far easier to get right before RJSC registration than to correct afterwards. We can also tell you which licenses and registrations follow incorporation for your specific business model.
Can a foreign founder book a startup legal session?
Yes. Foreign and non-resident founders usually need guidance on how share capital must be remitted through a bank with an encashment certificate, BIDA registration, the Bangladesh Bank reporting attached to share issuance, and work permits for anyone who will work in Bangladesh. We cover these points alongside the general startup issues.
Will the session tell me how much tax I will pay?
We explain which taxes and VAT apply to your model, how withholding works on your receipts and payments, and what returns you must file. Exact amounts depend on your actual figures and the rates in the current Finance Act, so detailed calculations are handled as a separate tax engagement if needed.
Is what I share in the session kept confidential?
Yes. We treat your business plans, cap table, agreements and financial information as confidential and use them only to advise you. If you would like a formal non-disclosure agreement in place before sharing sensitive material, tell us when you book and we can sign one first.
